Educbank has been acquired by Cogna

June 2026 — Cogna Educação, through its subsidiary Somos Sistemas de Ensino, has acquired an additional 47% stake in Educbank for approximately US$8.9 million, increasing its ownership from 43% to 90% and consolidating control of the platform. The transaction expands Cogna’s presence beyond its traditional enrollment-driven education business into the financial infrastructure that underpins school tuition collection.

Educbank is a Brazilian fintech company founded in 2020 and headquartered in São Paulo. It has built a leading financial ecosystem for private K–12 schools in Latin America, currently supporting several hundred schools across approximately 25 Brazilian states. Rather than offering traditional loans, Educbank guarantees schools the full receipt of tuition payments, including in cases of payment default, by advancing receivables in exchange for a fee linked to the school’s academic performance and tuition value. The company also provides complementary services, including payment solutions, enterprise resource planning (ERP) and learning management system (LMS) tools, accounting and marketing support. Educbank has strong ties to the Cogna ecosystem. Its approximately US$38.6 million Series A funding round was led by Vasta Educação, Cogna’s K–12 education division, which serves more than 4,000 partner schools, alongside investor Marrakech Capital. The company has since raised additional capital through debentures backed by school tuition receivables to fund its continued expansion.

Headquartered in São Paulo, Cogna is Brazil’s largest private education group with more than 55 years of history. The company operates across higher education, basic education and business-to-business (B2B) and business-to-government (B2G) educational solutions, serving more than 2.5 million students through brands including Kroton, Somos and Saber. Somos Educação, Cogna’s K–12 education division, supplies educational content, textbooks and learning platforms to thousands of partner schools across Brazil, playing a central role in Cogna’s strategy to diversify revenue beyond higher education into basic education and government-focused solutions.
