Ushio Inc. has acquired the entertainment and industry lamps (ENI) business from ams OSRAM

ams OSRAM has signed an agreement with Ushio Inc. for the sale of its entertainment and industry lamps (ENI) business. The agreed purchase price is US$131 million, on a cash- and debt-free basis, and the transaction is expected to close by the end of March 2026, subject to customary closing conditions. Net deal proceeds will be determined based on the final closing accounts at the date of completion.

Established in 1964, Ushio, Inc. is a global leader in the manufacture and innovation of specialized light sources and optical systems, headquartered in Tokyo. The company develops and produces a wide range of lighting solutions — including xenon, ultraviolet (UV) and infrared lamps, as well as light sources for industrial, medical and cinema applications — serving key sectors such as semiconductor manufacturing, visual imaging and biotechnology. With approximately 6,000 employees, Ushio was listed on the second section of the Tokyo Stock Exchange in 1970 and moved to the first section in 1980.

ams OSRAM’s ENI business includes a product portfolio ranging from specialty lamps for infrastructure and cinema applications to highly sophisticated light sources used in semiconductor wafer fabrication equipment (WFE).

Headquartered in both Premstätten, Austria and Munich, Germany, ams OSRAM is an Austrian semiconductor manufacturer. The company develops and produces intelligent sensors and emitter components, employing around 19,700 people worldwide. Its innovations align with key societal megatrends, including digitalization, smart living, energy efficiency and sustainability. ams OSRAM’s light and sensor technologies set industry standards across the automotive, industrial, medical and consumer electronics sectors. This is reflected in its global portfolio of approximately 13,000 patents and patent applications.

Oaklins’ team in Austria, together with the Development Bank of Japan (DBJ), advised Ushio Inc. as the exclusive financial advisors on the acquisition of the ENI lighting business from ams OSRAM.
