SNDC has completed an OBO and has been acquired by Newco
The shareholders of SNDC have completed an OBO transaction to offer exit to one private equity fund and several private investors. Financial details have not been disclosed.
Founded in 1986, SNDC is specialized in HVAC for off-road vehicles, with two different activities: OEM HVAC products, which include design, component sourcing, assembly and testing, filtration and pressurization for Industrial off-road vehicles in the commercial, industrial, agricultural and construction machinery sectors; and aftermarket services, which include technical consulting and trading of spare parts, and consumables and tooling for HVAC systems maintenance and repair. The aftermarket activities are performed under the ECOCLIM brand.
Oaklins' team in France acted as the exclusive advisor to the sellers in this transaction. After having received several offers from buyers, and considering the growth potential for the coming years, the shareholders finally decided to organize a new LBO transaction rather than a full sale. This OBO transaction will allow one of the PE funds and some private investors to exit while keeping the current management and other PE funds on board.
