Sale of Sentenial Group and its open banking brand Nuapay
September 2021 — The shareholders of Sentenial Group have sold the business and its open banking brand Nuapay, a leading end-to-end payments platform specialized in account-2-account transactions, to EML Payments.
Through its regulated subsidiary Nuapay, Sentenial operates in the fast-growing European open banking sector. The group powers a complete set of payments for credit transfers, direct debits, instant payments and open banking. Over US$50 billion worth of transactions are processed annually across 37 countries. Under the Sentenial brand, the group’s original SaaS business model provides white-label use of its payment processing technology to banks and corporates. Nuapay combines Sentenial’s bank-grade payments platform with regulated services in a next-generation alternative payments and open banking solution.

TA Associates has completed a US$40 million accelerated bookbuild (ABB), selling approximately 4.3% of its shareholding in W.A.G. payment solutions AS (Eurowag) through a secondary offering on the London Stock Exchange. The transaction formed part of the private equity sponsor’s continued partial exit following its investment in Eurowag in 2015. The offering attracted strong demand from international institutional and Czech investors, resulting in a successful placement at US$1.33 per share, a 7.4% discount to the previous close and a 2.2% discount to the one-month volume-weighted average price (VWAP).
