TA Associates has completed a sell-down of its stake in Eurowag
July 2026 — TA Associates has completed a US$40 million accelerated bookbuild (ABB), selling approximately 4.3% of its shareholding in W.A.G. payment solutions AS (Eurowag) through a secondary offering on the London Stock Exchange. The transaction formed part of the private equity sponsor’s continued partial exit following its investment in Eurowag in 2015. The offering attracted strong demand from international institutional and Czech investors, resulting in a successful placement at US$1.33 per share, a 7.4% discount to the previous close and a 2.2% discount to the one-month volume-weighted average price (VWAP).
Eurowag is a leading pan-European provider of integrated payment and mobility solutions for commercial road transport operators. The company serves more than 320,000 active trucks across 23 European countries through a unified digital platform combining fuel and toll payments, telematics, fleet management, navigation, VAT and excise tax refunds and financial services. Its cloud-based software-as-a-service (SaaS) platform helps fleet operators improve efficiency, manage costs and simplify cross-border transport operations. Eurowag primarily serves small and medium-sized transport companies and has over 2,000 employees across Europe.
Our role in the transaction
Oaklins’ team in the Czech Republic acted as the joint bookrunner alongside Peel Hunt in this transaction. Leveraging its long-standing relationship with Eurowag’s management, as well as its strong access to Czech institutional investors and high-net-worth individuals, the team helped broaden the investor base and generate incremental domestic demand. This contributed to a well-diversified, oversubscribed order book and the successful execution of the transaction.
