Gramo has completed a mandatory public takeover bid for the shares of Deceuninck

July 2026 — Gramo BV has completed a mandatory public takeover bid for the shares of Deceuninck NV. The bid was launched after Gramo’s conversion of warrants increased its participation in Deceuninck above the 30% voting rights threshold, thereby triggering a mandatory takeover bid under Belgian takeover legislation. The transaction further strengthens the stability of Deceuninck’s shareholder base and supports the company’s long-term strategy focused on innovation, sustainability and operational excellence.

Gramo is a Belgian private investment vehicle controlled by Francis Van Eeckhout, the majority shareholder and CEO of Deceuninck. Through its long-term ownership approach, Gramo seeks to support the continued development of Deceuninck, enabling the company to further strengthen its market position and execute its strategic objectives in the global building solutions sector.

Deceuninck is a Belgium-based global designer and manufacturer of PVC and aluminum building solutions for the construction industry. The company serves customers across Europe, North America and emerging markets through a comprehensive portfolio of window, door and outdoor living systems. Its activities are organized around two core product categories: window and door systems, comprising PVC and aluminum profiles for windows, doors, sliding systems, shutters and related building applications; and building products, comprising complementary solutions including cladding, roofline products, wall and ceiling systems, decking, fencing and other outdoor living applications. The company employs approximately 3,650 people, operates 14 production sites worldwide and generated approximately US$900 million in revenue in 2025. Deceuninck’s strategy focuses on delivering innovative and sustainable building solutions, supported by product innovation, operational excellence, circular material use and a strong international distribution network.
