Astorg liess eine PPA für die Akquisition von AutoForm erstellen
März 2017 — Astorg Partners mit Sitz in Paris hat die Mehrheitsanteile von AutoForm übernommen. Im Anschluss an die Transaktion wurde für Bilanzierungszwecke eine Kaufpreisallokation (PPA) durchgeführt.
Astorg ist eine unabhängige Private-Equity-Gruppe mit einem verwalteten Vermögen von über USD 5 Milliarden. Die Firma hat Büros in London, Paris und Luxemburg. Astorg erwirbt euro-päische Unternehmen mit globaler Präsenz und weltweitem Vertrieb. Das Unternehmen beschäftigt 360 Mitarbeiter in 15 Ländern auf der ganzen Welt.
AutoForm wurde 1995 als Spin-off der ETH Zürich gegründet und ist heute Weltmarktführer für Engineering-Software für Blechumformprozesse in der Automobilindustrie. Das Unternehmen bietet Softwarelösungen für den Werkzeugbau und die Blechumformung entlang der gesamten Prozesskette. Mit enormen Verbesserungen in Qualität, Zeit und Kosten ist AutoForm ein anerkannter Industriestandard bei nahezu allen Automobilherstellern und bei führenden Werkzeug-, Stanz- und Werkstofflieferanten weltweit.
Unsere Rolle bei der Transaktion
Das Team von Oaklins in der Schweiz beriet Astorg und AutoForm in der Phase nach der Transaktion und erstellte eine PPA gemäss IFRS 3. Der Bericht enthielt die Aufteilung des bezahlten Kaufpreises auf alle identifizierbaren erworbenen Vermögenswerte und übernommenen Verbindlichkeiten.
